Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the https://www.oceansoasis.org/ website (the “Service”) operated by Oceans Oasis – Blue Startup Innovation (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.


1. Programs and Services

1.1 Program Participation (Accelerator & Aquapark)

Oceans Oasis offers acceleration programs and laboratory/aquapark access (the “Programs”). Participation in any Program requires a separate, written agreement (e.g., a Program Contract or Service Agreement) which will govern the specific terms, duration, intellectual property rights, fees, and deliverables. These website Terms and Conditions are secondary to any signed Program Agreement.

1.2 Application Process

Any information submitted through registration forms (such as the Accelerator Registration Form) must be truthful, accurate, and complete. Submission of an application does not guarantee acceptance into any Program.


2. Intellectual Property Rights (IP)

2.1 Website Content

The Service and its original content (excluding User Submissions), features, and functionality are and will remain the exclusive property of Oceans Oasis and its licensors.

2.2 Applicant/Participant IP

Oceans Oasis does not claim ownership of any intellectual property submitted by applicants or participants during the application or Program phases, including, but not limited to, business plans, technologies, trade secrets, and proprietary data.

2.3 Use of IP for Promotion

By submitting information or participating in a Program, you grant Oceans Oasis a limited, non-exclusive, royalty-free license to use your startup’s name, logo, and general description for marketing, promotional, and fundraising purposes related to the Programs, unless otherwise stipulated in a separate, written Non-Disclosure Agreement (NDA) or Program Contract.


3. User Conduct and Responsibilities

3.1 Prohibited Use

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including “junk mail” or “spam.”

3.2 Confidentiality of Submissions

If you are submitting sensitive, proprietary, or confidential information through any form, you acknowledge that internet transmission is not completely secure. While Oceans Oasis takes reasonable measures to protect data, it is your responsibility to secure prior written agreements (like an NDA) if the complete confidentiality of a specific submission is critical to your business.


4. Limitation of Liability and Disclaimer

4.1 “As Is” Basis

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

4.2 Limitation

In no event shall Oceans Oasis, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service.


5. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of [Country where the NGO is legally registered, e.g., Costa Rica], without regard to its conflict of law provisions.


6. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
